The Compliance Manager will ensure compliance with the various financing agreements supporting the company’s fast-growing portfolio of operating distributed solar and battery storage projects across the United States. Core responsibilities will include quarterly compliance reporting, tracking and forecasting key covenants and ratios, leading the annual operational audit, and building scalable, efficient processes to increase visibility for senior management. The Compliance Manager will report to the Director of Finance Project Operations and collaborate cross-functionally with other internal stakeholders including Fund Accounting, Legal, and Structured Finance.
Key Responsibilities
Quarterly Compliance Reporting
Collaborate with Fund Accounting and Project Finance to produce and deliver quarterly reports required under the company’s various financing agreements
Track key deliverables and their due dates to ensure timely delivery to lenders
Understand all covenants and key reportable events within all agreements to promote awareness with management and facilitate notifications and consents
Respond to ad-hoc questions regarding quarterly performance and compliance from senior management and capital investors
Tracking and Forecasting of key covenants and ratios
Collaborate with Fund Accounting to develop a rolling forecast of the Debt Service Coverage Ratio (DSCR), Solar Asset Payment Ratio (SAPR), and Delinquency/Default ratios for each financing, as appropriate
Report to Management the forecast of the company’s expected compliance or non-compliance with key covenants and ratios, drivers of non-compliance, and levers to affect improvement of the ratios
Identify and mitigate any potential risk of failing compliance requirements
Lead annual operational audit(s) and any follow-on audits.
Manage the engagement of a 3rd party company (CBIZ) to perform and deliver the required operational audits for the appropriate legal subsidiaries, as required in the financing agreements
Coordinate with CBIZ and cross-functionally within the company to deliver required documents and responses to questions/requests
Skills and Qualifications
Exceptional communication skills with experience interfacing directly with institutional investors and senior management
Motivated self-starter with excellent work ethic
Highly organized with ability to manage multiple priorities simultaneously
Strong understanding of accounting principles, financial statements, and capital markets
Proven proficiency in financial and reporting software applications (required: Excel and PowerPoint; preferred: SalesForce, Adaptive Planning, NetSuite)
Ability to work with large datasets and build efficiencies/automation
Bachelor’s degree with a major in accounting, finance, economics, or statistics
Experience in renewable energy, especially distributed solar and battery storage assets, is preferred
